Who we are
This website at nodz.io and the related staking interfaces (the “Site” and the “Services”) are operated by [Nodz legal entity name], a company incorporated in Luxembourg (RCS Luxembourg no. [B●●●●●●]), with its registered office at [registered address, Luxembourg] (“Nodz”, “we”, “us”).

Acceptance of these terms
By accessing the Site, connecting a wallet, or using any of the Services, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site or the Services.
If you use the Services on behalf of a company or other legal entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.
Eligibility and restricted persons
You represent and warrant that:
- you are at least 18 years old and have full legal capacity;
- you are not located in, resident of, or accessing the Services from a jurisdiction where doing so would be illegal, and you are not a person subject to sanctions administered by the EU, the United Nations, the United States (OFAC) or any other relevant authority;
- your use of the Services complies with all laws applicable to you, including tax, securities and anti-money-laundering laws.
We may restrict or refuse access to anyone, and from any jurisdiction, at our discretion.
Non-custodial nature of the Services
Nodz is a non-custodial staking infrastructure provider. This is fundamental to how the Services work:
- We never take possession or control of your crypto-assets and we never hold, request or have access to your private keys, seed phrases or recovery information.
- When you stake, unstake or claim rewards, the transaction is constructed in your browser and signed by you, in your own wallet. The assets move directly from your wallet to the relevant public blockchain protocol, smart contract, staking pool or validator. They never pass through, and are never custodied by, an address controlled by Nodz.
- You remain in full control of, and solely responsible for, your wallet, your keys and your assets at all times. We cannot reverse, cancel, recover or refund any on-chain transaction, and we cannot help you recover lost keys or assets sent to the wrong address.
Nodz’s role is limited to (i) operating validator and node infrastructure for the supported networks, and (ii) providing a software interface that helps you interact with public staking protocols. We are not a wallet provider, exchange, broker-dealer, custodian, deposit-taking institution or money transmitter.
The staking Services and supported networks
The Site lets you delegate to, or deposit into, staking protocols on a number of blockchain networks. Live networks currently include Ethereum (via a StakeWise V3 vault that pools ETH to run validators), Solana, Starknet, Bitcoin (in wrapped form on Starknet), Livepeer (on Arbitrum) and Walrus (on Sui). Additional networks (such as Gnosis, Avalanche, NEAR, Cosmos and The Graph) are described as “coming soon” and are not yet available.
Each network has its own mechanics, validator/vault address, reward schedule, commission, minimums and unbonding/lock-up period. Some flows are completed entirely on our Site, while others direct you to third-party block explorers or applications (for example a staking explorer or the StakeWise app) to complete signing in your wallet. Once you leave our Site, the third party’s own terms and privacy practices apply.
Rewards, rates and figures
Any APY, APR, total-value-staked, uptime, historical performance or similar figures shown on the Site are estimates and illustrations based on third-party or network data at a point in time. They are not a promise or guarantee of future returns. Actual rewards depend on factors outside our control, including network conditions, validator performance, protocol parameters, commission, gas fees and token price.
On-chain data displayed on the Site (rates, balances, commissions) is read from public RPC providers and may be delayed, incomplete or show placeholder values if a data source is unavailable. Always verify critical information on-chain.
Risk disclosure
Crypto-assets and staking are high-risk. By using the Services you acknowledge and accept, among others, the following risks:
- Market risk: crypto-asset prices are volatile; you may lose some or all of the value of your assets.
- Slashing & validator risk: a network may penalise (slash) staked assets for validator downtime or misbehaviour. While we operate professional infrastructure, we cannot guarantee against slashing.
- Smart-contract risk: staking protocols, vaults and bridges rely on smart contracts that may contain bugs or be exploited, including contracts (such as the StakeWise vault) that Nodz does not author.
- Lock-up & liquidity risk: unstaking is subject to network unbonding periods during which your assets are illiquid and earn nothing.
- Wrapped-asset risk: wrapped tokens (e.g. wrapped BTC) are not the native asset and carry counterparty risk from the wrapping provider.
- Liquid-staking risk: where a network offers minting of a liquid-staking token (e.g. osETH) against your stake, you may face additional risks such as liquidation if collateral ratios are breached. Such optional strategies are advanced and may not be suitable for you.
- Regulatory & tax risk: the legal and tax treatment of crypto-assets and staking rewards is evolving and varies by jurisdiction.
No financial, investment or tax advice
Nothing on the Site is investment, financial, legal, accounting or tax advice, nor a recommendation, solicitation or offer to buy, sell or hold any crypto-asset or to adopt any strategy. You are solely responsible for your own decisions and should seek independent professional advice and conduct your own research before staking.
Wealth-management introductions (referral only)
Where we offer “wealth management”, Nodz acts only as an intermediary that introduces eligible clients to independent third-party private-banking partners. The wealth-management services themselves are provided directly by those partners under their own agreements, terms and regulatory status. Nodz is not responsible for those services and does not provide banking, portfolio-management or advisory services itself. Any onboarding, KYC/AML and suitability checks are carried out by the relevant partner.
Acceptable use
You agree not to:
- use the Services for money laundering, terrorist financing, fraud, sanctions evasion or any unlawful purpose;
- interfere with, attack, reverse-engineer (except as permitted by law), overload or attempt to gain unauthorised access to the Site, its infrastructure or other users;
- introduce malware, scrape at scale, circumvent security or rate-limiting measures, or misuse our forms or APIs;
- misrepresent your identity or impersonate Nodz or any other person.
Intellectual property
The Site, the Nodz name and logo, its design, text and software (other than third-party and open-source components, which remain subject to their own licences) are owned by Nodz or its licensors. We grant you a limited, non-exclusive, revocable licence to use the Site for its intended purpose. You may not copy, modify, distribute or create derivative works except as permitted by an applicable open-source licence or by us in writing.
Third-party services and links
The Services rely on, and link to, third parties we do not control, for example wallet providers and connectors (such as WalletConnect and Coinbase Wallet), staking protocols and vaults (such as StakeWise), public RPC providers, swap routing services (such as Jupiter), price data providers (such as CoinGecko), block explorers, and security/anti-bot providers (such as Cloudflare). We are not responsible for third-party services, their availability, security or content, and your use of them is at your own risk and subject to their terms.
Disclaimer of warranties
The Site and Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including as to merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that the Site, any data shown, or any underlying network or smart contract will be secure, available or free of defects.
Limitation of liability
To the maximum extent permitted by law, Nodz and its directors, employees and agents will not be liable for any loss of crypto-assets, profits, rewards, data or goodwill, or for any indirect, incidental, special, consequential or punitive damages, arising out of or related to your use of (or inability to use) the Site or Services, including losses caused by slashing, smart-contract failure, network or third-party failure, price movements, or your own errors.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Luxembourg law (such as for fraud or for death or personal injury caused by negligence).
Indemnity
You agree to indemnify and hold Nodz harmless from any claims, losses, liabilities and reasonable expenses (including legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
Changes, suspension and termination
We may modify, suspend or discontinue all or part of the Site or Services at any time, and we may update these Terms. Material changes will be notified by an appropriate notice on the Site, and your continued use after they take effect constitutes acceptance. Because the Services are non-custodial, your staked assets remain in the relevant on-chain protocol and under your control regardless of changes to the Site.
Governing law and jurisdiction
These Terms are governed by the laws of the Grand Duchy of Luxembourg, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights you may have, the courts of Luxembourg City shall have exclusive jurisdiction over any dispute.
